Terms and Conditions

This public offer agreement (hereinafter referred to as the “Agreement”) regulates the terms of renting delivery software provided by Tec.delivery, registered as an “Osek Patur” in Israel under the name Anatolii Shmidman, registration number: 347365389.

By accepting the terms of this Agreement, the Client agrees to comply with its provisions.

1. Definitions

• Company — Tec.delivery, the owner of the Tec.delivery platform.
• Client — any individual or legal entity accepting the terms of the Agreement.
• Services — the rental of software for delivery management.
• Platform — software provided to the Client for use under the Services.
• Parties — the Company and the Client.
• Force Majeure — circumstances beyond the Parties’ reasonable control, including but not limited to war, natural disasters, strikes, governmental acts.

2. Subject of the Agreement

The Company provides the Client with rental access to the Tec.delivery Platform for delivery management under the terms of this Agreement.

The Services are provided in a SaaS (Software as a Service) format.

The Client confirms that the use of the Platform is only permitted for lawful business activities in the country of operation.

3. Terms of Service

The Company provides the Client with access to the Platform after registration and payment for the selected tariff.

The Company is not responsible for Platform disruptions caused by:

• Technical issues on the Client’s side
• Lack of internet connection
• Force majeure circumstances

Client support is provided via support@tec.delivery during business hours (Israeli local time).

4. Obligations of the Parties

Obligations of the Company:

• Provide access to the Platform in accordance with the selected tariff.
• Ensure technical support within its capabilities.
• Maintain the confidentiality of the Client’s data.

Obligations of the Client:

• Provide accurate information during registration.
• Use the Platform exclusively for lawful purposes.
• Pay for the Services on time.

5. Fees and Payment Terms

The cost of the Services is determined by the selected tariff plan specified on the Company’s website.

All payments are made in accordance with issued invoices.

6. Liability of the Parties

The Company is not liable for direct or indirect damages incurred by the Client related to the use of the Platform, except as provided under Israeli law.

7. Confidentiality and Data Protection

The Company agrees to process the Client’s personal data in accordance with Israeli laws and international regulations (including GDPR, if applicable).

8. Termination of the Agreement

The Agreement is considered terminated in the following cases:

• The Client notifies the Company of their decision to discontinue using the Platform.
• The Client violates the terms of the Agreement.

9. Governing Law

This Agreement is governed by the laws of the State of Israel.

All disputes shall be resolved through negotiations. If no agreement is reached, disputes will be submitted to the court of Eilat.

10. Miscellaneous

The Company has the right to amend the Agreement, notifying the Client 30 days before changes take effect.

This Agreement constitutes a public offer and does not require a signature.
